After you have settled upon which entity you want to establish, you’ll need to register it with the state to become an official business, unless it’s a sole proprietorship or regular partnership. Business entity formation papers are filed with the Secretary of State.

Sole proprietorships and partnerships should file a fictitious business name (also known as doing business as or DBA) through the Missouri Online Business Filing portal if they are using any name other than their own legal names. This must be renewed every five years. There is a $7 fee for the filing.

LPs, LLPs, LLLPs, LLCs and corporations will also file forms via the online portal. LPs file a certificate of limited partnership, LLPs file the application for registration of a limited liability partnership and LLLPs file the application for registration of a limited liability limited partnership. (Partnership fees depend on the number of partners.)

An LLC will file articles of organization through the portal and pay the $50 filing fee. Corporations file articles of incorporation that also have a $50 filing fee for the first $30,000 of authorized shares. It is an additional $5 for each additional $10,000 of authorized shares.
